By accessing or using the Prompterless platform (the "Service"), operated by Prompterless, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including users who access the Service through embedded chat widgets on third-party websites.

We may update these Terms at any time. Your continued use of the Service after changes are posted constitutes acceptance.

2. Description of Service

Prompterless is a B2B SaaS platform that enables businesses to:

• Create and manage AI chatbots powered by your own data and documents
• Upload and process documents for AI-enhanced question-answering (RAG)
• Customize AI prompts, models, and response behavior
• Embed chat widgets on your own websites
• Access the Service via API for integration with mobile apps and other platforms
• Manage users, analytics, and configurations through an admin dashboard

The Service is provided "as is" and may be modified, updated, or discontinued at any time without prior notice.

3. Account Registration and Security

To access most features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or pose a security risk.

4. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other accounts or systems
• Generate illegal, harmful, abusive, or harassing content
• Impersonate any person or entity
• Use the Service for spam, phishing, or fraudulent activities
• Circumvent rate limits, security measures, or usage restrictions
• Reverse-engineer, decompile, or disassemble the Service
• Use automated tools to scrape or extract data from the Service
• Resell or redistribute the Service without authorization

Violation of this policy may result in immediate termination of your account.

5. Intellectual Property

The Service, including its original content (excluding user content), features, and functionality, is owned by Prompterless and protected by copyright, trademark, and other intellectual property laws.

Our trademarks, logos, and service marks may not be used without our prior written consent.

You retain ownership of any content you upload to the Service (see Section 6).

6. User Content and AI-Generated Content

6.1 Your Content

You retain all rights to content you upload, including documents, prompts, and chat messages. By uploading content, you grant us a limited license to process, store, and use it solely to provide the Service (e.g., generating AI responses, creating embeddings).

6.2 AI-Generated Content

Responses generated by AI models through the Service are provided for informational purposes only. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or hallucinations
• You are responsible for reviewing and verifying AI-generated content before relying on it
• AI-generated content should not be used as a substitute for professional advice (legal, medical, financial, etc.)
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content

6.3 Content Restrictions

You must not upload content that infringes intellectual property rights, contains illegal material, or violates the rights of others. We reserve the right to remove content that violates these Terms.

7. API Usage and Rate Limits

Access to the Prompterless API is subject to:

• Rate limits: API calls are rate-limited based on your plan. Exceeding limits may result in temporary throttling.
• API keys: Keep your API keys confidential. You are responsible for all usage under your keys.
• Fair use: Usage must be reasonable and not impose an unreasonable burden on our infrastructure.
• Revocation: We may revoke API access for misuse or Terms violations.

8. Embed Widget Terms

If you use the embeddable chat widget on third-party websites:

• You are responsible for obtaining necessary consents from your end users (including cookie consent)
• The widget must only be embedded on domains you own or have authorization to modify
• You must include a link to your own privacy policy disclosing the use of our Service
• We are not responsible for how your end users interact with the widget
• Widget usage counts toward your plan's limits

9. Advertising

9.1 Free Plan Advertising

Free-tier users acknowledge that the Service may display advertisements within embed widget chat interfaces. These advertisements may include text, images, or other media formats and will appear in designated ad zones (top, within chat, or bottom of the chat window).

9.2 Ad-Free Experience

Paid plans (Pro and above) include an ad-free experience. Advertisements will not be displayed in embed widgets associated with paid plan accounts.

9.3 Ad Content

We make reasonable efforts to ensure advertisements are appropriate and relevant. However, we do not endorse the products, services, or content of third-party advertisers. Clicking on advertisements will direct you to external websites governed by their own terms and privacy policies.

9.4 Ad Tracking

Advertisements may track basic metrics including impressions and clicks. This data is collected in accordance with our Privacy Policy. IP addresses are hashed for privacy before storage.

9.5 Changes to Advertising

We reserve the right to modify ad placement, frequency, and format at any time. Users may upgrade to a paid plan to remove advertising from their embed widgets.

10. Payment, Billing & Subscriptions

Prompterless offers the following subscription plans:

10.1 Recurring Billing

Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select). By subscribing, you authorize us to charge your payment method on each billing cycle.

10.2 Auto-Renewal

All paid subscriptions automatically renew at the end of each billing period until you cancel. You will be charged the then-current subscription rate unless you cancel before the renewal date.

10.3 Cancellation

You may cancel your subscription at any time from your Subscription Settings or by contacting support at contact@prompterless.com. Upon cancellation, you will retain access to your paid plan features until the end of your current billing period.

10.4 Refunds

We offer a 14-day money-back guarantee on the initial purchase of any paid plan. For full details, see our Refund & Cancellation Policy.

10.5 Price Changes

We reserve the right to change subscription prices. If we increase prices, we will provide at least 30 days’ notice via email before the new pricing takes effect. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

10.6 Payment Processing

Payments are processed by third-party payment providers, including Stripe, PayPal, and Paddle. We do not store full payment card details on our servers. All payment data is handled in accordance with PCI DSS standards by our payment processors.

For certain transactions, Paddle.com Market Ltd (or its regional affiliate, Paddle.com Inc. for US-based buyers) acts as the Merchant of Record (reseller). This means Paddle is the legal seller of the Product to you, not Prompterless. When Paddle is the reseller, Paddle is responsible for payment processing, sales tax/VAT collection, invoicing, and first-tier after-sales support. For transactions processed through Stripe or PayPal, Prompterless is the seller and these providers act solely as payment processors.

10.7 Sales Tax & VAT

Prices displayed on this website are exclusive of applicable taxes. For purchases processed through Paddle (as Merchant of Record), all applicable sales taxes, VAT, and GST are calculated, collected, and remitted by Paddle at checkout. The final amount charged may be higher than the listed price due to applicable taxes in your jurisdiction.

10.8 Billing Disputes

If you have a billing dispute, we encourage you to contact us first at contact@prompterless.com before filing a chargeback with your bank or payment provider. We are committed to resolving billing issues promptly and fairly.

For purchases processed by Paddle: Because Paddle is the Merchant of Record (legal seller) for those transactions, billing inquiries including unexpected charges, invoice requests, and refunds should first be directed to Paddle. 11. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• AI-generated responses will be accurate or appropriate
• The Service will meet your specific requirements
• Defects will be corrected in a timely manner

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Prompterless SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Prompterless, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Content you upload or generate through the Service

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account data after a reasonable retention period (30 days)
• You may request export of your data before account deletion
• Provisions that by their nature should survive termination (liability, indemnification, etc.) will survive

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Prompterless is established, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

17. Changes to Terms

We reserve the right to modify these Terms at any time. Significant changes will be communicated through the Service or via email. Your continued use after changes are posted constitutes acceptance.

We recommend reviewing these Terms periodically. The "Last updated" date at the top indicates when these Terms were last revised.
